Service Agreement

BY USING ANY WEBSITES OR ELECTRONIC SERVICES OFFERED BY SOCIAL MEDIA MAGIC. (THE "SERVICE(S);"), OR BY ELECTRONICALLY ACCEPTING BY CLICKING AN "I ACCEPT" BUTTON OR CHECKBOX IN THE REGISTRATION PAGES OF THE SERVICES, YOU ARE HEREBY AGREEING TO THESE TERMS OF SERVICE (THE "TERMS") AND ANY TERMS INCORPORATED HEREIN BY SPECIFIC REFERENCE.

 

CLIENT RESPONSIBILITIES
Client must agree to fully completing the Social Media Marketing New Client Survey within 10 days of program start date. This will be to: 1) Establish an overview of your business, management, products & services and unique value to the marketplace. 2) Diagnostic of your current Social Media situation.

Ongoing communication between you (or your contact) and a SOCIAL MEDIA MAGIC associate will need to be a priority. This will be necessary to make adjustments, specify details, answer questions, modify links, etc.

Client will need to provide:

+ Two to three professional head shot photos
+ Logo for your company
+ Completion of the Social Media Marketing New Client Survey
+ Attendance of a 60 minute Strategy and Intake phone conference
+ Links or access to articles, white papers, testimonials, case studies, etc.
+Timely communication and responses when working with Social Media Magic staff to avoid delays in your Social Media campaigns

Client must be timely and proactive in the actionable strategies or tactics needing to be implemented as agreed upon by both parties.

RESPONSIBILITY FOR DISHONOR
Client may relieve SOCIAL MEDIA MAGIC of our services if we are found to be operating unethically, maliciously, with fraud or with dishonor to client.

SOCIAL MEDIA MAGIC may relieve client of our services if client is found to be operating unethically or with dishonor towards SOCIAL MEDIA MAGIC or client’s customers.

MORAL RESPONSIBILITY
Our business operates under a strict guideline of moral ethics, and the same is expected by our client concerning our business relationship.

CONFIDENTIALITY
Any sensitive figures, data, sales projections, budgets amounts, sales reports, etc obtained by SOCIAL MEDIA MAGIC will remain confidential and will not be shared with anyone outside your company. Sensitive information will only be discussed with our contact person(s) listed inside this contract.

Confidentiality includes delivery of service. We will not publish or advertise the fact we are operating as your Social Media partner – unless you give us written permission to do so.

OUR SERVICES
Strategies and techniques used by SOCIAL MEDIA MAGIC to create, grow and implement the Social Media Marketing services will be communicated in advance via phone conversation or email upon initial outlay. The specific details of services provided for your Social Media Marketing program are specified on our web site at: www.socialmediamagic.com and will also be detailed in your Client User Guide provided to you upon entering program.

Phase One, Initial Setup for your Social Media Marketing begins within 2 business days of your completing the Strategy/Intake phone consultation.

At the end of every 30-day period you will receive a Monthly Progress Report that highlights the major work accomplished. This will be submitted to you via e-mail and our web based project management center within 5 days following each 30-day period.

Our services are contracted for only one business per contract and only one profile per client on our support social sites. If you own/run multiple businesses, we will perform our services for one business entity. In the event you are a parent company, one legal business entity will need to be assigned for our services. Otherwise, additional monthly fees and service agreements will be required for additional businesses and profiles.

Contract Terms and Automatic Renewal

You agree to a 90 day commitment.

You agree that your subscription for Social Media management services is a monthly recurring charge billed every 30 days. It will automatically rebill every 30 days until such a time that you request cancellation. You may cancel at any time AFTER the initial 90 day commitment.

Right To Cancel
If after 90 days, you are not completely satisfied with your services given on our Social Media Marketing program, you may cancel at any time by notifying us in writing by sending us your request via email to billing@SocialMediaMagic.com. Failure to follow the cancellation policy will result in your continued billing.

Upon cancellation, your profiles will remain intact (with the exception of qAlias) however all maintenance of the profiles by Social Media Magic will cease.

qAlias: Because qAlias is a paid monthly service that we pay on our clients behalf, please note that upon your cancellation of your Social Media Magic service, your qAlias account will be canceled as well. If you wish to remain a qAlias member you will need to contact qAlias directly.

Refunds
Please note that the one time setup fee for initially setting up your accounts and profiles is non-refundable. The first 90 days of the program is also non- refundable as this is extensive work done that cannot be returned.

Modification of Terms and Services

SOCIAL MEDIA MAGIC reserves the right to modify these Terms from time to time. The modified terms will be posted on this page. You should check here from time to time for updates. You agree that your use of the Services after such a change will be deemed full and adequate acceptance of the modified Terms. SOCIAL MEDIA MAGIC also reserves the right to modify, discontinue or make temporarily unavailable the Services and that any new or modified features, unless explicitly stated otherwise are subject to these Terms.

Entire Agreement

You acknowledge that these Terms with the included Privacy Statement constitute the entire agreement between you and SOCIAL MEDIA MAGIC. You agree that these terms supersede any prior agreements or statements made verbally or in writing.

Severability

You agree that if any term in this agreement is deemed to be invalid, unlawful or unenforceable for any reason, all other terms shall remain in force.

Governing Law

These Terms will be governed by Georgia and United States law.

Term and Termination

You agree that this agreement shall remain in effect for as long as you subscribe to, renew, or use the Services. You agree that this agreement can only be terminated by you once you have stopped using the Services and have paid all monies owed to SOCIAL MEDIA MAGIC. You agree that SOCIAL MEDIA MAGIC can terminate this agreement at any time for any reason, with or without cause, if it has reason to believe that you are violating the Terms in any way, or when the Service is permanently discontinued. Re-subscription shall again be subject to these or modified Terms in effect at the time of re-subscription.
